1.1 These general terms and conditions (which may be amended and updated from time to time, these "Terms") constitute a binding legal agreement ("Agreement") between you and Dogi AB, reg. no. 559299-3959, or another entity within the same group as Dogi AB ("Dogi"), and govern your right to use the website, the Woof application ("App"), and other offerings from Dogi (collectively referred to as the "Platform").
1.2 YOU ACKNOWLEDGE AND AGREE THAT BY USING THE PLATFORM AND/OR REGISTERING ON THE PLATFORM, YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, INCLUDING ANY CHANGES TO THESE TERMS, YOU ARE NOT AUTHORIZED TO USE THE PLATFORM.
1.3 The Platform provides:
(i) an online space that allows users ("Members") to publish, offer, search for, and book pet-related services such as dog sitting (the "Marketplace Module"); and
(ii) a digital social networking environment that enables Members to create profiles, share content, interact with other Members, participate in discussions, publish media, and engage in community activities (the "Community Module").
Members offering services are referred to as "Woofers," and Members seeking, booking, requesting bookings, or using services are referred to as "Owners." Woofers offer dog sitting services to Owners ("Services") by applying to an Owner's request for services (each service offer or booking request is also referred to as a "Listing") or by receiving private requests from Owners. You must register an account to access and use many features on the Platform and must keep your account information accurate. As the provider of the Platform, Dogi does not own, control, offer, or manage any Listings or Services. Dogi is not a party to agreements entered directly between Woofers and Owners. Dogi does not act as an agent in any capacity for any Member, except as specified in the payment terms for the Service in Section 11 ("Payment Terms"). To learn more about Dogi's role, see Section 9.5.
1.4 The Platform and the Services (as defined below) are directed at individuals who are at least 16 years old, provided such individuals have registered in accordance with Dogi's rules and the onboarding process applicable from time to time. By using the Platform and the Services, you agree to comply with these Terms of Use together with any specific terms and other rules and instructions that Dogi may publish from time to time. If you are a Woofer, you are responsible for understanding and complying with all laws, regulations, and agreements with third parties that apply to your Services.
1.5 These Terms of Use refer to the Privacy Policy, which also applies to your use of the Services ("Privacy Policy"), and our Payment Terms, which govern all payment services provided to Members by Dogi's payment system (collectively "Dogi Payments"). The Privacy Policy sets the terms for how Dogi processes personal data collected from you or provided by you to Dogi. By using the Platform and Services, you consent to such processing and warrant that all data you provide is accurate. In the event of a conflict between these Terms of Use and the Privacy Policy, the Privacy Policy shall prevail. For clarity, the Privacy Policy applies to all activity and use of the Platform and Services.
1.6 If you have authorized, permitted, or otherwise made your Dogi account available for use by someone else, you bear full responsibility under the Agreement for such use (including, for clarity, the obligation to pay any fees incurred).
2.1 You may search for Woofers or send booking requests using criteria such as type of service, location, price, and date and time. You can also use filters to improve your search results. Search results are based on their relevance to your query and other criteria. Relevance considers factors such as price, availability, reviews, popularity, previous and saved listings, Woofer requirements, and more.
2.2 When you create a Listing and confirm a Woofer, you will receive a booking confirmation via the Platform. By confirming your Woofer, you agree to pay all costs associated with your booking, including the Listing price, applicable fees such as Dogi's service fee, any offline fees, taxes, and other items identified at checkout (collectively called the "Total Price"). Once you receive a booking confirmation, a direct contract for services (a "Reservation") is formed between you and the Woofer. In addition to these Terms, you will be subject to and responsible for complying with all terms of the Reservation, including, without limitation, the cancellation policy and any other rules, standards, policies, or requirements identified in the Listing and applicable to the Reservation. It is your responsibility to read and understand these rules, standards, policies, and requirements before booking a Listing.
2.3 A Reservation entitles you to use the service. You are responsible for informing the Woofer of any medical or physical conditions of the dog or other circumstances that may affect your use of the service.
3.1 If you cancel a Reservation, the amount refunded is determined by the cancellation policy that applies to the specific Reservation.
3.2 Woofers and Owners are responsible for any booking changes they agree to make via the Platform ("Booking Changes") and agree to pay any additional amounts, fees, or taxes associated with a Booking Change.
You are responsible for your own actions and omissions. This means, for example, that you must act with integrity, treat others with respect, and comply with applicable laws at all times. If you book on behalf of a minor, you must be legally authorized to act on behalf of the minor and are solely responsible for them.
5.1 As a Woofer, Dogi offers you the right to use the Platform to share your service with our community of Owners and earn money. It is easy to apply to a Listing, and you control the terms of your services by setting your price, availability, and rules before applying.
5.2 When you accept a booking request or receive a booking confirmation via the Platform, you enter directly into an agreement with the Owner and are responsible for delivering the service under the terms and price stated in the Listing. You also agree to pay applicable fees, such as Dogi's service fee (and applicable taxes) for each booking. Payments will be deducted from your payout unless you and we agree on another method. Any terms you include in a supplementary agreement with Owners must: (i) be consistent with these Terms and the information provided in your Listing, and (ii) be clearly stated in your Listing description.
5.3 Your relationship with Dogi is that of an independent individual or entity and not that of an employee, agent, joint venturer, or partner of Dogi, except that Dogi Payments acts as a payment collection agent as described in the Payment Terms. Dogi does not direct or control your service, and you understand that you have complete discretion in whether and when to provide services and at what price and on what terms to offer them.
5.4 Completing a booking outside the Platform violates Dogi's Terms and may result in loss of access to the Platform and other legal actions by Dogi.
6.1 The Platform provides tools that make it easy for you to create and manage your profile. Your profile must contain complete and accurate information about your service as well as any rules or requirements that apply. You are responsible for your actions and for keeping your information and content (as defined in Section 12.5) up to date and accurate at all times. We recommend obtaining appropriate insurance for your services and suggest reviewing privacy policies carefully, including coverage details and exclusions.
6.2 You are responsible for understanding and complying with all laws, rules, regulations, and agreements with third parties that apply to your profile or your services. Check your local rules to understand which regulations apply to the services you plan to offer. The information we provide about legal requirements is for informational purposes only, and you should independently confirm your obligations. You are responsible for managing and using personal data from Owners and others in accordance with applicable privacy laws and these Terms, including our Privacy Policy. If you have questions about how local laws apply, you should always seek legal advice.
6.3 You are responsible for your own actions and omissions and also for the actions and omissions of anyone you allow to participate in providing your services. You are responsible for setting your price and establishing rules and requirements. You may not charge any additional fees or costs outside the Platform. Do not encourage Owners to create third-party accounts, submit reviews, provide their contact details, or take other actions outside the Platform that violate these Terms.
7.1 As a Woofer, you should not cancel a Reservation without a valid reason under our policy. If you cancel a Reservation without such a reason, Dogi may impose consequences, including limitations on your profile and your account, and withholding any applicable refunds.
7.2 If an Owner cancels a Reservation, the impact on your profile, including whether it affects your ratings or visibility, will be determined according to the cancellation policy and Dogi's discretion.
7.3 If an Owner requests a Booking Change and you accept it, the Booking Change becomes binding, and you agree to any changes in price or schedule as part of that change.
8.1 After completing a service, Owners and Woofers can leave a public review ("Review") and submit a star rating ("Rating") about each other. Ratings and Reviews reflect the opinions of individual Members and do not reflect the opinion of Dogi. Ratings and Reviews are not verified by Dogi and may be incorrect or misleading.
8.2 Ratings and Reviews by Owners and Woofers must be accurate and may not contain any offensive or defamatory language. Ratings and Reviews must comply with Dogi's content guidelines and must not include personal information.
8.3 Members are prohibited from manipulating the Ratings and Reviews system in any way, such as instructing a third party to write a positive or negative Review about another Member.
8.4 Ratings and Reviews are part of a Member's public profile and may also be displayed elsewhere on the Platform (such as the Listing page) along with other relevant information, such as the number of bookings, average response time, and other information.
9.1 You must follow these rules and must not help or induce others to break or circumvent these rules:

9.2 You are responsible for any content you provide or actions you take on the Platform. Dogi reserves the right to remove content and terminate access if these rules are violated.
9.3 You are also responsible for ensuring that your use of the Platform and services complies with all applicable laws and regulations.
9.4 Dogi reserves the right to limit your use of the Platform, including the number of bookings or services, and to suspend or terminate your account if these Terms are violated.
9.5 While Dogi facilitates the connection between Woofers and Owners via the Platform, Dogi does not provide the services itself and is not responsible for the quality, safety, or legality of any services provided by Woofers or requested by Owners.
10.1 Dogi may, at its discretion, allow Members to (i) create, upload, post, send, receive, and store content, such as text, photos, audio, video, or other materials and information on or through the Platform ("Member Content"); and (ii) access and view Member Content and any content that Dogi itself makes available on or through the Platform, including proprietary Dogi content and any content licensed or authorized for use by or through Dogi from a third party ("Dogi Content," and together with Member Content, "Collective Content").
10.2 The Platform, Dogi Content, and Member Content may in their entirety or in part be protected by copyright, trademark, and/or other laws of Sweden and other countries. You acknowledge and agree that the Platform and Dogi Content, including all associated intellectual property rights, are the exclusive property of Dogi and/or its licensors or authorizing third parties. You will not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Platform, Dogi Content, or Member Content. All trademarks, service marks, logos, trade names, and any other source identifiers of Dogi used on or in connection with the Platform and Dogi Content are trademarks or registered trademarks of Dogi in Sweden and abroad. Trademarks, service marks, logos, trade names, and any other proprietary designations of third parties used on or in connection with the Platform, Dogi Content, and/or Collective Content are used for identification purposes only and may be the property of their respective owners.
10.3 You will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast, or otherwise exploit the Platform or Collective Content, except to the extent you are the legal owner of certain Member Content or as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Dogi or its licensors, except for the licenses and rights expressly granted in these Terms.
10.4 Subject to your compliance with these Terms, Dogi grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to (i) access and use the Platform on your personal device(s); and (ii) access and view any Collective Content made available on or through the Platform and accessible to you, solely for your personal and non-commercial use.
10.5 By creating, uploading, posting, sending, receiving, storing, or otherwise making available any Member Content on or through the Platform, you grant to Dogi a non-exclusive, worldwide, royalty-free, irrevocable, perpetual (or for the term of the protection), sublicensable, and transferable license to such Member Content to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such Member Content to provide and/or promote the Platform, in any media or platform. Insofar as Member Content includes personal information, such Member Content will only be used for these purposes if such use complies with applicable data protection laws.
10.6 You are solely responsible for all Member Content that you make available on or through the Platform. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Member Content that you make available on or through the Platform or you have all rights, licenses, consents, and releases that are necessary to grant to Dogi the rights in and to such Member Content, as contemplated under these Terms; and (ii) neither the Member Content nor your posting, uploading, publication, submission, or transmittal of the Member Content or Dogi's use of the Member Content (or any portion thereof) as contemplated under these Terms will infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
10.7 You will not post, upload, publish, submit, or transmit any Member Content that: (i) is fraudulent, false, misleading (directly or by omission or failure to update information), or deceptive; (ii) is defamatory, libelous, obscene, pornographic, vulgar, or offensive; (iii) promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group; (iv) is violent or threatening or promotes violence or actions that are threatening to any other person; or (v) promotes illegal or harmful activities or substances. Dogi may, without prior notice, remove or disable access to any Member Content that Dogi finds to be in violation of these Terms or otherwise may be harmful or objectionable to Dogi, its Members, third parties, or property.
10.8 Dogi respects copyright law and expects its Members to do the same. If you believe that any content on the Platform infringes copyrights you own, please notify Dogi at support@woof.mobi.
11.1 Payment processing services for Dogi are provided by third-party providers such as Stripe and are subject to their respective terms and conditions.
11.2 When you make or receive a payment via the Platform, you agree to be bound by the terms of the payment provider and authorize Dogi to share relevant information with that provider.
11.3 Fees may apply to bookings and use of the Platform, as communicated to Members during the booking process. Dogi reserves the right to change these fees at any time, and such changes will be effective once published on the Platform.
11.4 Dogi may charge service fees to both Woofers and Owners. Service fees are non-refundable except as otherwise provided in the Terms or Policies.
11.5 In the case of a dispute regarding a payment, Dogi reserves the right to withhold, suspend, or reverse payments while the matter is under investigation.
11.6 Dogi is not responsible for any fees, charges, exchange rates, or other conditions imposed by your bank or payment provider.
11.7 Dogi may issue invoices or receipts for payments made through the Platform. You are responsible for ensuring that your payment information is accurate and up to date.
12.1 These Terms constitute the entire agreement between you and Dogi regarding the use of the Platform and supersede all prior agreements.
12.2 Dogi may modify these Terms at any time. Changes will be communicated via the Platform, email, or other reasonable methods. Continued use of the Platform constitutes acceptance of the modified Terms.
12.3 You may not assign or transfer your rights or obligations under these Terms without Dogi's prior written consent. Dogi may freely assign or transfer these Terms without restriction.
12.4 These Terms are governed by the laws of Sweden. Any disputes shall be resolved by Swedish courts, unless otherwise required by mandatory consumer protection laws.
12.5 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.6 Failure by Dogi to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
